Keep a deal memo and update it after every exchange

A contract negotiation runs across emails, calls and successive drafts, and what was agreed on one is easily lost by the next. Keep a short living document recording, point by point, what is agreed, what is open and where the position sits, and update it the moment anything moves. Seeing the whole negotiation on one page is the defence against a clause wandering back to the other side's opening position.
